Terms and Conditions
	To be an authorized affiliate of Boating With Dawsons, you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the Boating With Dawsons service as an affiliate. By signing up for the Boating With Dawsons affiliate program, you indicate your acceptance of this agreement and its terms and conditions. AFFILIATE AGREEMENT This agreement describes the terms and conditions for participation in the Boating With Dawsons Affiliate Program. The terms “Affiliate,” “you,” and “your” are referring to you, the applicant. “We” and “our” refer to Boating With Dawsons. We are independent parties and this agreement will not form any partnership. DURATION OF AGREEMENT This agreement will begin upon our acceptance of your affiliate application and will end when terminated by either party. Termination may happen at any time, with or without cause, by giving the other party written notice of termination. In the event that this Agreement is terminated for any reason, you will only be eligible for Commission Fees earned as a result of Subscribers who were acquired up to the date of termination or expiration. Upon termination or expiration of this Agreement, all licenses granted under this Agreement shall terminate and you will immediately cease use of, and remove from your website, all Boating With Dawsons’ logos, materials, and Boating With Dawsons Affiliate Links. AGREEMENT MODIFICATION By posting a Change Notice or a new agreement on this site, we may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available referral fees, fee schedules, payment procedures and Program rules. If any of the modifications are unacceptable to you, your only recourse is to terminate this Agreement. If you continue participation in the program following the posting of a Change Notice or new agreement, it will be considered as your acceptance of the change. COMMISSION FEES AND PAYMENTS You will receive 25% of the revenue of books (excluding shipping and printing), e-books and e-lessons written by Dawsons as a commission from orders placed through your Affiliate Link. For a sale to generate a commission to an Affiliate, the customer must complete the order form, remit full payment for the products ordered and have their delivery completed. You will receive 5% for orders placed through the Affiliate Sites of those sub-Affiliates which you have sponsored into the Affiliate Program. Affiliate commissions will only be paid on sales which are made through qualified Affiliates. Referral fees can only be earned between the acceptance of the Affiliate application and notice of termination. Fees will be paid on the fifteenth of each month by Dawsons. Any returned checks, cancelled order, chargebacks, or fees from a returned order will be adjusted in the following fee payment. You must have an active link on your website in order to qualify for commissions. Commissions will be paid each month when the commission amount earned reaches more than Twenty Five ($25.00). Each month that you do not earn at least Twenty Five Dollars ($25.00) in Commission Fees, payment shall not be issued to you for that month but shall be deferred until the cumulative amount is at least Twenty Five Dollars ($25.00). Boating With Dawsons shall not be liable with respect to any Commission Fees not received by you as a result of your failure to notify Boating With Dawsons of a change in your principle place of address or Paypal Account. Boating With Dawsons shall have no obligation to pay Commission Fees for any promotion, promotion code, coupon or coupon promotional opportunity that is not specifically authorized for the Affiliate Program. PAYMENT OPTIONS You will be paid though your PayPal account as indicated when you sign up as an Affiliate. PROCESSING ORDERS Boating With Dawsons will be solely responsible for processing every order placed by a customer on the Affiliate and sub-affiliate sites. Customers who purchase products through Boating With Dawsons will be deemed to be customers of Boating With Dawsons. Prices and availability of our products may vary from time to time. Boating With Dawsons’ policies will always determine the price paid by the customer. We reserve the right to reject any order that does not comply with our rules, operating procedures and policies. LINKING TO BOATING WITH DAWSONS The necessary electronic graphic artwork and corresponding links to Boating With Dawsons' website and all HTML thereto for the Boating With Dawsons Affiliate Link shall be available to you. Such link may only be in the form of text, a button, a banner or any other format provided by Boating With Dawsons. You shall not modify or alter the Boating With Dawsons Affiliate Link without prior written consent of Boating With Dawsons. The HTML for such link will also include a special promotion identifier that enables the tracking and reporting of all Subscribers acquired through the Boating With Dawsons Affiliate Link. You are responsible for integrating the Boating With Dawsons Affiliate Link into your website properly and for providing the Boating With Dawsons Affiliate Links to your Subscriber in the proper format. Boating With Dawsons shall not be liable to you with respect to your failure to properly integrate the Boating With Dawsons Affiliate Link. LICENSE AND LOGOS Subject to all the terms and conditions of this Agreement, Boating With Dawsons hereby grants you a nonexclusive, non-transferable license to use the Boating With Dawsons trademarks, logos, and copyrighted material solely on your website and solely in connection with this Agreement. You hereby acknowledge and agree that the Boating With Dawsons Logos are owned solely and exclusively by Boating With Dawsons or its subsidiaries. You have no right, title or interest in or to Boating With Dawsons. MARKETING PRACTICES With respect to soliciting Subscribers and marketing the Boating With Dawsons Products, all advertising and promotional materials are subject to the terms of this Agreement. Boating With Dawsons may request to review and approve any of your marketing materials, including but not limited to any e-mails or e-mail campaigns. You further agree to be solely responsible for all expenses and fees incurred in connection with the participation in the Program, to use best efforts to successfully market, advertise and sell Boating With Dawsons’ products. You also agree that you will not engage in any deceptive, misleading, illegal, or unethical practices that may be detrimental to Boating With Dawsons or its products or servicesand that you will not make any representations, warranties, or guarantees on behalf of Boating With Dawsons. RESTRICTIONS of WEBSITES Boating With Dawsons reserves the right not to accept any site into the Boating With Dawsons Affiliate Program based on site content. Sites that Do Not Qualify for the Boating With Dawsons Affiliate Program include sites such as sites that are: • X- rated and promote sexually explicit materials • Promoting violence and discord. • Promoting discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age • Promoting illegal or questionable activities • Violating intellectual property rights SPAM (UCE) Unsolicited Commercial E-mail – Boating With Dawsons in no way participates in mass unsolicited e-mailing (i.e. spamming), and all Affiliates are expected to adhere to this policy as well. Violation of this policy will result in the termination of this contract and immediate dismissal from the Boating With Dawsons Affiliate Program, with no refund. DISCLAIMER We make no express or implied warranties or representations with respect to the Affiliate Program or your potential to earn income from the Boating With Dawsons Affiliate Program. In addition, we make no representation that the operation of our site or the Affiliate Sites will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or down time. This Agreement will be governed by the laws of Canada, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the Federal or Provincial courts located in the province of Ontario, and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement. By submitting this Affiliate Agreement form, you acknowledge that you have read this agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee, or statement other than as set forth in this agreement.
